Interview Terms & Conditions
The following terms and conditions apply to all companies and/or persons or other entities (“you”) that are interviewed (“interview”) by InJoy Ltd trading as RozyGlow (“we” or “us”). Please ensure you have read and understand the following:
1. By agreeing to be interviewed, you are agreeing to the terms and conditions set out below (“Terms”) and they will be incorporated into the contract between us (“Contract”). You will ensure that your employees, partners, agents, contractors, subcontractors and any other person attending the interview on your behalf shall comply with these Terms. The Contract is formed when you agree to a date and time for the interview.
1.1. You agree to provide us with a photograph, biography and summary of the intended conversation topics ahead of the interview and agree that we may use such materials in any way we deem fit, including in our promotional materials for the interview.
1.2. You warrant that none of the contents you intend to cover are defamatory of any person, are likely to infringe any rights of any person, contain any confidential information or are misleading in any way, and that such contents are true and accurate to the best of your knowledge.
1.3. Where applicable and agreed in writing prior to the interview, you may promote your services and products during the interview and shall pay to us an affiliate fee %, as agreed via email, of any sales made directly from the interview.
1.4. You agree that when sharing the interview via social media you will tag @rozyglow on Instagram and the ‘Manifesting StarPeace Eutopia ’ group on Facebook and any other accounts agreed by email. If applicable, you will use any hashtags agreed in our email correspondence when sharing.
2. You agree that we may photograph and film the interview and that we may publish, distribute or otherwise deal with such photographs and film in any way we think fit, including in promotional materials for future events. You may also use such photographs or video with our prior written consent.
3. We reserve the right to cancel, postpone or change the on-line platform of the interview. We shall provide you with as much advance notice of such circumstances as is possible. If you are no longer able to continue with the interview, this agreement shall automatically terminate on your confirmation that you are not able to so continue.
4. You grant to us a royalty-free, worldwide, perpetual license and release to reproduce, use, abridge, condense, summarise or publish in any way or otherwise distribute any recordings of the interview
4.1. Any materials created by you for the interview shall continue to be owned by you.
5. Either of us may terminate this agreement immediately by providing written notice to the other if the other is in material breach of any of these Terms.
5.1. We may terminate the Contract immediately (without any liability to provide any payment to you) if we reasonably feel that you performing the interview would have an adverse impact on our business or reputation.
5.2. Clauses which expressly or by implication have effect after termination shall continue in full force and effect after the date of termination of the Contract.
6. The relationship between us will be that of independent contractor and nothing in this Agreement shall render you our employee, worker, agent or partner.
7. Nothing in this clause shall limit our liability for death or personal injury caused by our negligence or for our fraud or fraudulent misrepresentation or for any matter for which liability cannot legally be excluded or limited.
7.1. We shall not be liable for any loss of profits, loss of business, depletion of goodwill and/or similar losses, loss of anticipated savings, loss of goods, loss of contract, loss of corruption of data or information or any special, indirect, consequential or pure economic loss, costs, damages, charges or expenses suffered or incurred by you as a result of you entering into this agreement.
7.2. The provisions of this clause shall survive termination of this agreement.
8. You acknowledge and agree that this agreement constitutes the entire agreement and understanding between us and supersedes any previous arrangement, understanding or agreement between us relating to the interview and that in entering into this agreement you have not relied on anything said by any person (including any third party) relating to the interview.
9. No variation of this agreement shall be valid unless it is in writing and signed by or on behalf of each of us.
10. A person who is not a party to this agreement shall not have any rights under the Contracts (Rights of Third Parties) Act 1999 to enforce any term of this agreement.
11. This agreement and any dispute or claim arising out of this agreement shall be governed by and construed in accordance with English law and we each irrevocably agree that the courts of England and Wales shall have exclusive jurisdiction to settle any dispute or claim that arises out of or in connection with this agreement.
